Concerning a Company's Change of Director

 28.08.06 The tax inspectorate will amend the procedure for entering changes to the Unified State Register of Legal Entities pertaining to a company’s change of director. Form No. P14001, which is used to enter such changes to the register, may now be signed by the incoming director. Despite a Supreme Arbitration Court Resolution (No. 2817/06, dated May 29, 2006), the inspectors have until recently only accepted this application if it were signed by the outgoing director.
The Federal Tax Service Inspectorate has received an order directly from above. In letter No. ShT-6-09-849@, dated August 24, 2006, the Russian Federal Tax Service has announced that its previous letters (Nos. 09-0-10/4223, dd. October 26, 2004 and 09-0-10/4831, dd. December 17, 2004), which mandated that the form be signed by the outgoing director, are no longer to be applied.
Previously, the outgoing director held the right to simply not sign the application, forcing companies to go to court in order to maintain proper records with the Unified State Register of Legal Entities; such practices should now cease.
