On July 1, 2009 a new law came into force altering the Federal Law “On Limited Liability Companies / OOO”. Based upon the new law it is necessary for all OOO companies to modify and re-register their charter documents by January 1, 2010.

The purpose of the law is to ensure the legitimacy of registered legal entities. All necessary changes must be made by January 1, 2010. Failure to comply could result in future problems including:

Letter of the Federal Tax Service (FTS) # МН-22-6/511@ from June 25, 2009 explains procedure for re-registration of Limited Liability Companies (OOO) in accordance to regulations of the Federal Law # 312-ФЗ from December 20, 2008 which came into effect on July 1, 2009.

Federal Law # 312-ФЗ from December 20, 2008 which came into effect on July 1, 2009, introduced changes to several legislative acts of the RF, including the Civil Code of the RF and the Federal Law “On the State Registration of Legal Entities and Private Entrepreneurs”. The Letter of the Federal Tax Service issued on June 25, 2009 offered additional explanation for some aspects of the procedure.
